Creating and Running a Campaign
When you, as an Organizer, create a Campaign on the Site and request Contributions, you understand that you are entering into separate legal agreements with RD and with the Contributors, and the following rules apply (in addition to all other Terms and Terms of additional policies):
- a. When creating a Campaign, Organizers will be able to view ongoing Campaigns, access the volume of funds raised, find out who the regular contributors are in the “Top Contributors” tab, the fundraising history, the settings menu, and a direct access link to Platform Support.
- b. By creating a campaign, the organizer acknowledges awareness of all the terms set forth herein, in addition to providing in advance the information that RD deems relevant to accept the promotion of the campaign to be carried out.
- c. After the Campaign is created, some data may be changed by the Organizer. It is possible to change data and information such as: the title, price per quota, adding promotions, incentive measures and/or coupons, and also the Campaign end date (which may be extended or brought forward), provided that the change is attempted on a date prior to the closing milestone of the action.
- d. Changes to the amount per contribution must be requested through Support. In the case of an increase in amounts, the fee charged by the platform also changes and you will need to supplement the payment;
- e. By creating a Campaign, the Organizer declares that they acknowledge and accept the obligation to deliver any products and/or services in the quantity, model, and within the deadline established in the project creation terms. RD, as a hosting platform, bears no responsibility for the delivery or non-delivery of the good, amount, or service outside the agreed parameters.
- f. The organizer, together with their affiliates, undertake to promote campaigns only with products or services that are of lawful origin and nature, do not violate any third-party rights, including intellectual property rights, rights of any person or entity, publicity or privacy rights, rights of children and adolescents, do not disrespect consumer rights under applicable law, are not of a defamatory nature, and whose sale is permitted and complies with the legislation of your country.
- g. The joining/registration of Affiliates in the promotion of campaigns hosted by the RD platform is subject to the acceptance of the organizer who manages the campaign; however, they will be submitting to the same obligations of care and respect for the platform’s Terms of Use and Privacy Policy as any other user.
- h. Upon request, just cause, detection of fraud, or any related situations, RD may cancel or temporarily suspend the campaign(s). On these occasions, users declare that they are aware that the cancellation automatically results in the refund of the amounts raised through the payment API1, when active, protecting all users from any losses.
- i. Service fees. A service fee may be charged to Organizers as part of the contributions received. Service Fees take effect on the date they are published and may be updated periodically. Campaign Organizers and Contributors decide the number of numbers they wish to link to the draws and the consideration for the use and support of RD. The fee amount is set according to a table based on the number of quotas chosen by the Organizer. This fee may change if the organizer decides to increase the number of quotas available per project;
- j. Agency Relationship. For the receipt of Contributions from Contributors, Organizers appoint RD as the Organizer’s limited agent for the sole purpose of registering their Campaigns. RD does not execute or intermediate the settlement of payments to the Organizer or to their Affiliates, nor financial transactions. The receipt, holding, and settlement of payments take place through financial institutions by means of a payment API.
- j.2. The agency services set forth in this item are not, and are not intended to be, comparable to the services offered by payment institutions, financial institutions, or credit card administrators or acquirers. The agency services are solely for the purpose of facilitating payment transactions between Users, with the payment of transactions taking place on behalf and by order of the Users. RD is not a financial institution and does not carry out credit operations directly.
- j.3. Third-Party Services: Transactions carried out on the Platform may only be paid with the funds held by Users. To that end, RD may make third-party payment methods available as options to Users, facilitating fundraising carried out in the form of payment of amounts or advancing receivables from transactions (such as banking institutions, credit card administrators, and other credit entities). In such cases, there may be distinct terms and conditions that you must comply with. RD is not responsible for the availability or accuracy of the provision of these Third-Party Services.
- j4. These Third-Party services were made available in response to user requests, so that transactions could become safer and more practical; however, the institutions pinned as shortcuts on the organizer’s dashboard must not be confused with the platform and may be removed at any time, at the request of users or if we notice that they are malfunctioning; therefore, ALWAYS pay attention to the notices on this dashboard;
- k. Right to Withhold Funds. Fundraising is directed to the account indicated by the Organizer/Contributor, with no financial withholding of any kind by the platform. RD may seek reimbursement from an Organizer by any other lawful means, including by using third-party collection services.
- l. Refunds. RD offers a limited refund to Contributors in accordance with our Contributor Refund Policy. Refunds outside our Contributor Refund Policy must be handled by the Organizer, and RD has no obligation to provide any refund or to become involved in any dispute between an Organizer and a Contributor. In the event of improper use of the Platform, the User shall bear the legal, civil, and criminal consequences that the case may give rise to. Accordingly, RD may immediately suspend or cancel any campaign publication that violates current legislation, with any request for a refund or redress being untimely and unwarranted.
- m. The Organizer undertakes to immediately notify the Contributor if there are obstacles or delays in providing Items and Prizes, as well as to promptly answer all questions asked by Contributors. If they are unable to deliver the items, the Organizer is responsible for refunding the Contributors.
- n. The Organizer undertakes to promote campaigns only with products or services that are of lawful origin and nature and do not violate any third-party rights, in compliance with current legislation.
- o. The Campaign Organizer is responsible for carrying out the draw, regardless of the method, undertaking to provide all essential data on the campaign page, especially when the draw is carried out, as well as to announce the winner(s). RD may suspend, reverse, or cancel Campaigns when the Organizer provides false information or does not correspond to the initial proposals of the published project.
- p. In the event that the Campaign sells all of its quotas or its draw has been carried out, the panel for editing the campaign information will be locked.
- q. The Organizer and, by extension, their Affiliates are responsible for complying with the legislation applicable to the data protection of the contributing users to whom they have access. Compliance between the Organizer and RD takes place independently.
- r. As an Organizer, you are solely responsible for fulfilling the obligations of your Campaign and delivering any advertised items. If you are unable to fulfill this or any other legal obligation, you may be subject to legal action by the Contributors.
- s. Upon request, just cause, detection of fraud, or any related situations, RD may cancel the campaign. On these occasions, any amounts raised, through the API or other means, must be claimed directly from the Organizer. The contributor is aware that amounts will not be refunded through RD.
- t. RD Users may appear as Organizers of Campaigns and also as Contributors to them, as well as Affiliates of those they most wish.
- u. The electronic invoice (Nota Fiscal eletrônica) will be made available within up to 30 (thirty) days after the contracting of the services provided on the platform, the period over which the warranty extends. In the event that the organizer requests the early issuance of the invoice, it will be made available to them, and the warranty of said services will cease.
- v. In the event of the closing of the campaign (regardless of the reason for the closing), the data linked to it will remain available for a period of 90 (ninety) calendar days and may be requested by the organizer. After this period, the data will be permanently deleted from the platform and cannot be recovered.
Contributing to Campaigns
When a Contributor makes a Contribution to a Campaign, the Contributor understands that the following rules and terms apply (in addition to any other Additional Policies):
- a. By registering with the platform, you allow the collection and processing of personal data (Art. 7º, I - LGPD). By creating an account or making contributions, you accept our Privacy Policy. The data collected include name, e-mail, telephone, and bank details for the purpose of enabling payments and contact.
- b. Voluntary Contributions. All contributions are made voluntarily and at the sole discretion and risk of the Contributor.
- c. RD does not guarantee that contributions will be used as promised, that Organizers will deliver the items, or that the Campaign will achieve its objectives. RD also does not endorse, guarantee, make representations, or provide warranties for or about the quality, safety, morality, and legality of any Campaign, Item, or Contribution, or the truthfulness or accuracy of the User Content published on the Services.
- d. Communications between Organizers and Contributors. When you make a Contribution to a Campaign, the Administrators may need to contact you to obtain additional information, such as a delivery address, specific preferences for an item, or to request your feedback on the Campaign. Administrators must not request information that is not necessary for their legitimate business purposes and must not request confidential personal information, such as credit card number/bank details. Contact us IMMEDIATELY if you receive a request for information that seems excessive.
- e. Taxes are your responsibility. Contributors are solely responsible for determining how to treat their Contributions and the receipt of any Items for tax purposes.
Refund Policy - How does it work?
- a. Rifa Digital (RD) acts exclusively as an intermediation platform between Organizers and Contributors, offering support and digital infrastructure. It is a provision of technology services. Contributions made by Contributors go directly to the Organizers’ campaigns, without financial intermediation by RD. Therefore, contribution amounts are not refunded by the platform and must be requested directly from the Organizer of the respective campaign. RD is not responsible for the transfer of amounts or for the fulfillment of the promises made by Organizers.
- b. The only situation in which RD issues a refund directly to the organizer user is in the case of undue charges relating to campaign publication fees. If the Organizer requests the cancellation of the publication within 7 days of contracting the service and provided that the campaign has not started fundraising, RD may issue a full refund of the fee. After this period or in cases of active campaigns, there is no provision for a refund of the publication fee. Support must be contacted to assess extraordinary cases.
- c. A contributor who wishes to request a refund of amounts sent to a campaign must contact the Organizer directly, who is legally and exclusively responsible for any reimbursements. RD is not responsible for defaults or disputes between Organizers and Contributors. However, in duly proven cases of fraud, RD may intervene, including by suspending or canceling the campaign and blocking the Organizer. Support must be contacted so that we can become aware of the situation and act, within the limits of our competence.
- d. Campaigns successfully closed, whose draws have been carried out or whose prizes have been delivered as planned, will not be eligible for a refund by any of the parties. RD does not grant refunds when the request arises from the user’s typing errors, incorrect use of the platform, or withdrawal after the start of the campaign. A request to cancel the publication fee after this period will not be reviewed, except in proven cases of system failure. Support must be contacted so that we can assess extraordinary cases.
RD’s Limits of Liability
By using the RD Platform as an Organizer, Affiliate, or Contributor, you are a contracting party of the intermediation services provided by RD. RD does not create, prepare, control, endorse, or provide any Campaign. Organizers are responsible for the content and information relating to their Campaigns. By accepting these Terms and using RD, you do so voluntarily, at your own expense and risk. Except for cases of liability determined by law, RD is not liable for damages of any nature arising from access to or use of the Site or Services, whether material or non-material, direct or indirect, actual losses or lost profits.
- a. We do not endorse any User Content. Although RD supports the creation of Campaigns, we only provide the Site for User interaction. We do not pre-screen any Campaign or endorse any User Content on our site.
- b. We may remove User Content at our discretion. If you see User Content that violates these Terms, let us know and we may remove it. Removing content or terminating accounts is not an action we take lightly, and it may take us some time to investigate and determine whether the User Content should be removed. We do not communicate our reasons for removing or keeping User Content on the Site.
- c. We do not guarantee items or refunds. Organizers are solely responsible for delivering items and for offering refunds outside our Refund Policy.
- d. We do not provide tax or legal advice to Users. Users are solely responsible for determining how tax laws or any other laws apply to running a campaign, contributing to a campaign, or using any of the services.
- e. We do not become involved in legal disputes between Users or third parties. By accepting these Terms, you hereby agree to the exclusion of RD, its partners, agents, or attorneys-in-fact, from the defendant side of any type of claim or proceeding, judicial or extrajudicial, that you initiate against other Users or third parties regarding the use of the Site or Services.
- f. The Services may be unavailable for scheduled maintenance and other purposes, or due to unplanned outages or other malfunctions. We are not responsible if the Services are unavailable or if you lose any data, information, or User Content for any reason.
- g. Account deletion. You may submit a request to delete your account by reaching out through the available contact channels, but this will not automatically delete the User Content. We may need to retain certain information as required by law or as necessary for our legitimate business purposes. All provisions of these Terms survive the termination of an account, including our rights to the Content.
Fees
Users may use any Payment Methods accepted by the RD Platform to raise funds in their campaigns and may also collect these funds by deposit directly into the bank account of the Organizer of the intended campaign, subject to the specific rules contained on the Site and in these Terms.
- a. Upon acceptance of these terms, the user agrees to authorize any and all financial operations, whether through a financial intermediary, bank transaction, or others that may arise through the technological means available on the Platform.
- b. The only payment made to RD is the payment relating to the publication of the campaign, made by the Organizer. The publication amount has only one reference, namely, the amount intended to be raised by the campaign. Payment is made at the time the campaign is created and may require a supplement if there is a change increasing the fundraising amount. No other amount will be charged for this publication.
- c. The reference table of amounts for campaign publication will be available at all times in the campaign creation tab and may be changed at any time.
- d. If the user chooses to make/receive contributions directly (without the intermediary path offered by RD - API), they must confirm receipt of the amount manually, at their own expense and risk.
- e. At RD there are no fee deductions applied to the amounts of quotas sold. Should there be any requirement of this nature, the responsible User will have their campaign canceled and will be obliged to return the amounts raised in the respective Campaign.
- f. When payment is made through the payment methods made available by RD, it will be sent directly to the account provided by the User.
- g. The campaign Organizer may choose to enable the function for receiving payments by credit/ debit or using an API. When this function is enabled, the payment clearing time may vary from 03 (three) to 05 (five) business days. The transaction will have the status “processing” until it is completed. Once completed, the amount will likewise be directed to the account provided by the Organizer.
- h. The use of RD by users may give rise to the charging of the System usage fee (fee per campaign publication), which will be charged to campaign organizers as a one-time payment according to the projected gross revenue (total number of tickets x the ticket price). The table may be changed at any time and updates will be communicated to users.
Intellectual Property
- a. RD’s services, content, and marks are legally protected in various ways, including by copyright, trademarks, service marks, patents, trade secrets, and other international intellectual property laws. You agree to respect all copyright and other legal notices, information, and restrictions contained in any RD content, services, or marks accessed through the Site or the Services.
- b. User Content remains your property and is protected, without limitation, under copyright laws and other intellectual property laws. By submitting User Content to the Site or through the Services, you allow us to use the User Content. You grant us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, transferable right to use, exercise, commercialize, and exploit the copyright, publicity, trademark, and database rights with respect to the User Content.
- c. To report copyright and other intellectual property issues, feel free to use our contact channels.
RD’s Rights over User Accounts
- a. We have the right to monitor, terminate, suspend, or delete any user account at any time, for any reason or for no reason. It is our policy not to comment on any reason for termination, and we have no obligation to provide you with a reason for termination.
- b. We will have no liability to you or third parties for any use of the Services associated with your account or Campaign. Upon termination, you must cease all use of the Services and the User Content. All representations and warranties will survive termination.
Indemnification and Warranty
- a. You agree to defend, indemnify, and hold harmless RD, its officers, directors, employees, partners, contractors, representatives, agents, and third-party suppliers from and against any and all claims, causes of action, damages, obligations, losses, liabilities, costs or debts, and expenses (including legal costs and attorneys’ fees) and all amounts paid in settlements arising from or related to the breach of these Terms (including, but not limited to, failure to fulfill an Item or to refund a Contribution) or the violation of any laws.
- b. RD has no fiduciary duty to any user. The Services, Content, any other materials made available or through the use of the Services are provided without any warranty of any kind, express or implied, including, without limitation, implied warranties of merchantability or fitness for a particular purpose, non-infringement, or course of performance. RD does not warrant that your use of the Services will be uninterrupted, error-free, or secure, that defects will be corrected, or that the services or server(s) on which the services are hosted or any services available on any third-party platform are free of viruses or other harmful components. Your use of the Services, including without limitation any services provided on any third-party platform, is entirely at your own risk.
- c. We make no representations about the quality, safety, morality, or legality of any Campaign, Item, or Contribution or the truthfulness or of the User Content posted on the Platform. We do not guarantee the fulfillment or performance of any items, nor that Contributions will be used as described in the Campaign. We do not control or endorse the User Content published on the Site and, as such, we in no way guarantee the reliability, validity, accuracy, or truthfulness of such User Content.
- d. You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising from your access to and use of the services and user content, and any contact you have with other users or third parties, whether in person or online, remains with you.
- e. Organizers who receive contributions from Campaigns on RD are solely responsible for complying with all legal, regulatory, and tax requirements applicable to their Campaign, organization, and jurisdiction.
- f. RD makes no representation or warranty as to the legality of any draw or Draw Campaign contemplated by the Terms of Use.
As an Organizer who receives contributions from an illegal campaign or draw on RD, you acknowledge and agree to the following:
(1) RD has not sought, will not seek in the future, and is not obligated to seek a ruling from any regulatory authority to determine whether your Campaign(s) comply(ies) with applicable legal regulations or tax requirements in any jurisdiction. (2) You represent and warrant that you have relied on your own attorneys and accountants with respect to any and all guidance regarding the Campaign(s) contemplated in the Terms of Use. (3) You agree to indemnify and hold RD harmless from any and all claims by any Contributor or other person or Entity as a result of any Campaign being prohibited in whole or in part by any regulatory authority. (4) You waive any and all claims, causes of action, remedies, damages, costs, expenses, and losses, of any kind, against or from us, that may arise from or relate to the Campaign(s) contemplated in the terms of use, including, but not limited to, the legality of your Campaign(s). (5) You are expressly responsible for separately providing the official rules for your Campaign, or for reviewing and accepting the draw details provided and the official rules template published on your campaign page, before publishing your Campaign(s) or requesting contributions. You agree that the use of the draw details and official rules template provided fully and completely constitutes your acceptance and approval of those rules as your own. (6) You are expressly and solely responsible for ensuring that your Campaign(s) and/or draw is (are) approved for use in all jurisdictions where you may request Contributions, and you also agree to prohibit or void any Contribution or entry from non-approved jurisdiction(s). (7) You acknowledge that any registrations, licenses, bonds, or other requirements that may apply to your Campaign are your responsibility to identify and fulfill before requesting contributions. (8) You are expressly responsible for providing a declaration of eligibility and liability/publicity release to the potential winner(s) of your Campaign, as required by any regulatory authority.
Entire Agreement between User and RD
These Terms are the entire agreement between the User and RD with respect to the Services. They supersede all other communications and proposals (whether oral, written, or electronic) between you and RD. If any provision of these Terms is held invalid by a court of competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions of these Terms, which will remain in full force and effect.
These Terms of Use are available in English and Portuguese. In the event of ambiguity in interpretation arising from the language, the English version shall prevail.
The parties being in agreement, they hereby accept, assenting to all the clauses set forth herein, as well as the privacy policy and the following terms available on the RD Platform site: https://rifa.digital/.
